ACKNOWLEDGMENT
By booking, enrolling in, purchasing, accessing, or participating in any coaching session, event, training, online course, program, journey, or related service offered by NaiAsa Institute (PT PMA NaiAsa Prana Aloha), whether complimentary or paid, in-person or virtual, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.
⚠️ THIS IS A LEGALLY BINDING AGREEMENT.
It includes a release of liability, assumption of risk, and limitation of legal rights. Please read carefully before participating.

1. NATURE OF SERVICES
All services provided by NaiAsa Institute are educational, developmental, and coaching-based in nature.
Coaching Services
Coaching is a collaborative partnership intended to support personal and professional growth and may include:
Goal-setting and action planning


Reflective dialogue and inquiry


Accountability and support


Exploration of challenges and opportunities


Feedback and perspective-building


Online Courses, Programs & Journeys
Educational offerings may include:
Structured learning content


Video lessons, worksheets, and exercises


Proprietary frameworks, methods, and teachings


Guided practices and experiential exercises


Community or group components (where applicable)


What Our Services Are NOT
Our services do not constitute:
Therapy, psychotherapy, counseling, or psychological treatment


Medical advice, diagnosis, or treatment


Legal, financial, tax, or investment advice


Any guarantee of outcomes or results


You acknowledge that you are solely responsible for your decisions, actions, interpretations, and results. NaiAsa Institute is not responsible for decisions made or not made during or after participation.

2. REPRESENTATION OF CAPACITY & RESPONSIBILITY
You represent that you are capable of participating safely in coaching and educational services and will seek appropriate professional support where necessary.
If you are currently receiving medical, psychiatric, or psychological care, you acknowledge that NaiAsa Institute’s services supplement but do not replace professional treatment.
You accept full responsibility for any physical, emotional, or psychological responses arising from participation and agree that NaiAsa Institute is not responsible for providing or funding medical, mental health, or therapeutic care.

3. CONFIDENTIALITY
NaiAsa Institute maintains confidentiality regarding information you share in private coaching sessions and internal platforms, except where disclosure is required:

By law


To prevent serious harm to yourself or others


You agree to maintain confidentiality regarding NaiAsa Institute’s proprietary materials, methods, frameworks, and business practices.
In group or community settings, NaiAsa Institute is not responsible for breaches of confidentiality by other participants.

4. COACHING SESSIONS: SCHEDULING & CANCELLATION
Sessions must be scheduled by mutual agreement.
24+ hours notice: Session may be rescheduled at no charge


Less than 24 hours notice: Session fee forfeited


No-shows: Session fee forfeited


You are responsible for joining virtual sessions on time with a stable internet connection. Technical issues on your end do not entitle you to refunds or make-up sessions, though accommodations may be made at the sole discretion of the coach.

5. ONLINE COURSES & PROGRAMS: ACCESS & DELIVERY
Access
Upon successful payment, access credentials are provided within 48 hours (typically within 24 hours).
Access Duration
Self-paced courses: Time-limited access as specified (typically 6–12 months)


Cohort programs: Program duration plus stated archive access


Lifetime access: Only where explicitly stated


Failure to complete a program within the access period does not extend access or entitle you to a refund.
Technical Requirements
You are responsible for maintaining compatible devices, software, and internet access. Platform assistance may be provided, but technical issues on your end are not grounds for refunds.
Community Participation
You agree to respectful conduct, privacy, and adherence to community guidelines. Credential sharing or unauthorized distribution is strictly prohibited.

6. PAYMENT TERMS
All fees are charged in U.S. Dollars unless otherwise stated.
Sessions: Due at booking


Courses & programs: Due at enrollment


Packages & payment plans: As specified


Late payments may incur a fee of $25 or 5%, whichever is greater.
Failure to pay may result in suspension of access.
All payment obligations survive suspension or termination.

7. REFUND POLICY
Unless otherwise stated (e.g..Gateway membership), ALL PAYMENTS ARE NON-REFUNDABLE, to the maximum extent permitted by applicable law.
This includes, without limitation:
Change of mind


Personal circumstances or emergencies


Scheduling conflicts


Dissatisfaction


Failure to complete or access materials


Technical issues on your end


Lack of results


Partial completion does not entitle you to partial refunds.

8. RECORDING OF SESSIONS
NaiAsa Institute records coaching sessions, trainings, and online program calls for purposes including participant access, program delivery, quality assurance, training, and internal use.
By enrolling in or participating in any live session, you acknowledge and consent to the recording of that session.
Recording of sessions will not be stopped, paused, or altered due to an individual participant’s preference not to be recorded.
Participants who do not wish to be identifiable in recordings may choose not to attend live sessions or may be offered observer-only participation where available.
Participants may not record, reproduce, or distribute any session or materials without prior written consent from NaiAsa Institute.

9. INTELLECTUAL PROPERTY
All content, materials, methods, frameworks, and teachings are the exclusive intellectual property of NaiAsa Institute.
You receive a non-transferable, single-user license for personal use only.
You may not:
Share or distribute materials


Share login credentials


Use content for commercial purposes


Teach or sell proprietary methods


Create derivative works


Violations may result in immediate termination without refund and potential legal action.

10. TESTIMONIALS & IMAGES
Testimonials, images, or recordings will only be used with your explicit consent. Declining consent does not affect access to services.

11. NO GUARANTEES
No guarantees or warranties are made regarding outcomes or results.
You acknowledge that:

Success depends on personal effort and circumstances


Testimonials are not typical or guaranteed



12. ASSUMPTION OF RISK & LIMITATION OF LIABILITY
You voluntarily assume all risks associated with participation, including physical, emotional, psychological, or experiential responses, including those arising from somatic, breath-based, or embodiment practices.
To the maximum extent permitted by law:
NaiAsa Institute’s total liability shall not exceed the amount paid


NaiAsa Institute is not liable for indirect, incidental, or consequential damages


You release NaiAsa Institute and its owners, officers, employees, contractors, and representatives from all claims arising from participation.

13. CODE OF CONDUCT
You agree to:
Communicate respectfully and professionally


Respect facilitator and participant boundaries


Engage honestly in the learning process


Refrain from harassment, discrimination, or abusive behavior


Respect confidentiality and proprietary information


Violation of this Code of Conduct may result in termination without refund.

14. CAMERA-ON PARTICIPATION (ONLINE PROGRAMS ONLY)
NaiAsa Institute online programs are experiential and group-based and are designed for relational, live participation.
For this reason, active participation in live online sessions requires joining with a video camera on and remaining visually present except for brief breaks or technical issues.
Participants who are unable or unwilling to be visually present may be asked to observe rather than actively participate or may be removed from the session at the facilitator’s discretion.
NaiAsa Institute reserves the right to limit participation in order to maintain group safety, quality of experience, and integrity of the learning container.

15. TERMINATION & ACCESS REVOCATION
NaiAsa Institute may terminate or suspend access for:
Non-payment


Violation of these Terms


Intellectual property violations


Inappropriate or disruptive conduct


At its reasonable discretion to protect program integrity or safety


No refunds will be provided upon termination.
You may discontinue participation at any time.
No refunds will be issued, and all remaining payment obligations remain due.

16. DISPUTE RESOLUTION
All disputes shall first be addressed through good-faith negotiation.
If unresolved within 30 days, disputes shall be resolved exclusively by binding arbitration administered by the International Centre for Dispute Resolution (ICDR).
Arbitration shall be conducted virtually.
Courts may only be used to enforce an arbitration award.

17. GOVERNING LAW
This agreement shall be governed by the laws of the Republic of Indonesia, without regard to conflict-of-law principles.

18. MODIFICATION OF TERMS
NaiAsa Institute reserves the right to modify these Terms at any time. Continued participation constitutes acceptance of updated Terms.

19. COURSE & PROGRAM UPDATES
Content may be updated or modified at any time. Updates are not guaranteed unless explicitly stated in writing.

20. SEVERABILITY
If any provision is held unenforceable, the remaining provisions remain in full force and effect.

21. ENTIRE AGREEMENT
These Terms & Conditions constitute the entire agreement between you and NaiAsa Institute regarding all services.
